By utilizing the DMCVB’s production services to produce 360° virtual tour of member’s property (the “Product”) the member acknowledges that the Product is the sole and absolute property of the DMCVB and that the DMCVB has retained all rights thereto, including any and all intellectual property rights and the use thereof. Upon payment in full of all fees and charges of the DMCVB for production of the Product, the DMCVB will be deemed to have granted to the member a non-exclusive and non-transferable license (the “Product License”) to use the Product in connection with the marketing and operation of the Member’s hotel and/or other short term accommodation property in its service area. The member shall not acquire or claim title to the Product, or the copyright or goodwill attaching thereto by virtue of the rights granted to the member by the DMCVB. The Product License is specific to the member and does not include any right to grant sub-licenses. The member is deemed to have granted to the DMCVB a non-exclusive license or sublicense, as applicable, to use all trademarks, trade names, service marks, slogans, symbols, designs, insignia, emblems, logos, devices, words and other identifying characteristics and other intellectual property shown or depicted in the Product (the “Member’s IP”) In connection with the production of the Product and the use of the Product by the DMCVB in connection with the operation of the DMCVB’s destination marketing and promotional business, including but not limited to, making the Product available on the DMCVB’s internet website. Member hereby agrees to indemnify the DMCVB for and hold it harmless from and against all actual losses suffered arising from any and all allegations by a third party that the use of the Members IP in connection with the Product and the use of the Product in accordance with the terms of this Agreement infringes on the rights of such third party.
